What is Mergers and Acquisitions law practice?

A merger is the blending of the assets and liabilities two or more companies, either into one of the original companies, or into a new company – even if the new company decides to use the brands and identities of the original companies.

While there is no specific definition provided for the term ‘merger’ in these legislations; the Companies Act, the Income Tax Act and various regulations of Securities and Exchange Board of India oversee various aspects of a merger.

• Horizontal Merger: It refers to combination or merger of two companies at the same level of production or distribution in the relevant market.
• Vertical Merger: It refers to merger of two companies at different levels of production chain, essentially, between companies that operate at different, but complementary levels of the market for the same end product.
• Conglomerate Mergers: It refers to a merger between businesses that operates in completely different product markets.

 

An ‘acquisition’ or ‘takeover’ is the purchase of one company by another company – either through friendly or hostile means.The acquisition or takeover can be accomplished by taking over the controlling interest in the share capital of the target company, or by taking over all of the assets and/or liabilities, of the target.

In general, mergers and acquisitions come under the purview of the Competition Act, which is enforced by the Competition Commission of India.

The decisions of Competition Commission of India can be appealed to the Competition Appellate Tribunal and subsequently to the Supreme Court.

In addition, mergers and acquisitions may also need to adhere to other laws such as foreign direct investment (FDI) laws, foreign exchange laws, RBI regulations, various trade rules and tax laws.
