What is Corporate Governance law practice?
Corporate governance is a system of internal controls, rules, policies, procedures and practices that cover how a company’s board of directors manages and oversees the operations of a company. The two fundamental principles underlying corporate governance are:
- Recognition of the importance of shareholders
- Responsibility to shareholders
Corporate governance forms the framework of a company’s operations and its dealings with various stakeholders such as customers, management, employees, government and industry bodies.
The benefits of a robust Corporate Governance process include:
- Risk Mitigation and compliance
- Enhances shareholder value
- Better image during economic downturns
- Improved organisational efficiency
- Crucial during mergers & acquisitions
The Organisation for Economic Cooperation and Development (OECD), defines corporate governance as “A set of relationships between a company’s management, its board, its shareholders and other stakeholders. Corporate governance also provides the structure through which the objectives of the company are set, and the means of attaining those objectives and monitoring performance are determined. Good corporate governance should provide proper incentives for the board and management to pursue objectives that are in the interests of the company and shareholders, and should facilitate effective monitoring, thereby encouraging firms to use recourses more efficiently.”
In India, the Regulatory framework on corporate governance is mainly covered by the following legislations, rules and standards:
- The Companies Act, 2013
- Securities and Exchange Board of India (SEBI) Guidelines
- Standard Listing Agreement of Stock Exchanges
- Accounting Standards issued by the Institute of Chartered Accountants of India (ICAI)
- Secretarial Standards issued by the Institute of Company Secretaries of India (ICSI)
